| The Company was incorporated as Bole Technology Private Limited on April 3, 2008 under the Companies Act, 1956 with the Registrar of Companies,Karnataka, bearing Registration CIN U72300KA2008PLC045897. The name of the Company was changed to Bole Technologies Private Limited vide certificate dated August 6, 2014 issued by the Registrar of Companies. The Company was converted into Public Limited Company and also the name was changed to Bole Technologies Limited pursuant to fresh certificate of incorporation consequent upon conversion dated August 27, 2014. The name of the Company was changed to its current name vide certificate of incorporation pursuant to change of name on September 25, 2014. The original promoters and subscriber to the Company's Memorandum and Articles of Association of the Company were Mr. Barthalome Francis and Ms. Nirmala Chinna Rani. The present promoter Mr. Jesudas Premkumar Sebastian acquired 5000 equity shares representing 50% of total share capital of the Company from the original promoters on October 1, 2013. Subsequently he acquired 26,00,000 equity shares through transfer on March 31, 2014, 17,00,000 equity shares through preferential allotment on August 9, 2014 and 100 equity shares through transfer on September13, 2014. Further, Ms. Josphine.S, a Person Acting in Concert holds 4,04,500 equity shares, which was acquired through share transfer on September 13, 2014. As on the date of this Prospectus, Mr. Jesudas Premkumar Sebastian along with Person Acting in Concert hold 47,09,600 equity shares representing 99.98% of total pre-issue share capital of the Company.
