| YEAR EVENTS
1991 - The Company was incorporated as a Private Limited company on 5th June, under
the name of Antarctica Graphics Private Limited. Subsequently, it was converted into
a Public Limited Company and its name was changed to Antarctica Graphics Limited
vide fresh Certificate of Incorporation dated 10th March, 1993 issued by the Registrar
of Companies of West Bengal at Calcutta.
- The Company is engaged in printing related business for the last 13 years. The printing
work is being done with the help of one 4-colour and one 5-colour offset printing press.
Apart from the offset press, the Company has a state of the art colour Pre-press unit with
latest imaging and graphic designing system.
1996 - A major fire broke out in January, 1996 resulting in severe damage to Fixed Assets
in Falta Unit.
- Mr R S Jain, S S Bhandari and M K Kothari resigned from directorships of the Company
on 22.03.96, 22.03.96 & 20.09.96 respectively.
- Ms Ruma Kuthari was appointed as Director on 22.03.96 in the vacancy caused due to
the resignation of Mr S S Bhadari and Mr N C Saha joined the board as a director on
nomination by IFCI on 14.09.96.
- Mr Rohit Kuthari, Ms Renu Kuthari, Mr V K Jain and Mr Ram Ray retire by rotation and,
being eligible, offer themselves for reappointment.
1998 - During the period under review, the Falta unit was recommissioned. With the stabilisation
of operations at Falta unit your Company has become one of the few integrated Printing
& Packaging Materials unit in Eastern India.
- The Company has been changed from Antarctica Graphics Ltd. to Antarctica Limited with
effect from 21st January.
2000 - Issue of 10,835,960 No. of equity shares of Rs 10/- each for cash at par (of which
Rs 2.50 payable on applicaiton, Rs 2.50 on allotment and Rs 5.00 on calls) aggregating
Rs 108,359,600 to the equity shareholders of the company on rights basis in the ratio of
one share for every one share held as on the record date i.e. 12th September.
